We plan the approach together and structure the financing by determining the respective mix of equity and debt.
Once this decision has been made, we prepare all the relevant documents. In order to convince lenders, a valid business plan must be in place, meaningful marketing documents should be prepared and a complete data room needs to be set up, among other things.
Result
After the successful closing and the operational handling of the transaction, the process ends.

In order to grow, it is often advisable to draw on debt funding. Especially for companies with a high capital need that pursue asset-heavy business models, this form of financing is indispensable.
Young, growing companies in particular too seldom consider this type of financing. Either because they have had bad experiences with banks, do not speak their language or do not consider their company creditworthy. However, there are various ways to successfully raise debt.
Debt capital is also a fundamental component for management buy-outs, acquisitions or restructurings.

Leasing is known primarily from the mobility sector. But this form of financing can also be useful for financing other capital goods. Especially in so-called asset heavy business models, capital-intensive purchases are necessary to serve the respective customers. Leasing can be an option here to procure these assets in a liquidity-preserving way. A major advantage is the rapid implementation of leasing models. Various sub-models of leasing, such as hire-purchase or sale and lease-back, can also create further leeway in corporate liquidity and the preservation of equity.
We help with the conception of leasing models, support the drafting of contracts and assist in the search for a suitable leasing company.
The sale of receivables, e.g. outstanding customer payments, to factoring companies can be a suitable method to protect the liquidity of a company. Factoring is particularly suitable when long payment terms prevail. In general, factoring should be used for recurring payments. However, it is also possible to carry out so-called individual factoring to cover short-term capital requirements.
New developments, such as Revenue-Based Financing or Accounts Receivable Financing, have the same goal of bringing forward sales in order to improve liquidity.

Mergers & Acquisitions
Corporate mergers and acquisitions or sales are ways to strengthen and expand one’s own market position. For companies at an advanced stage of maturity, organic growth may reach its limits. New growth can be triggered through inorganic growth, i.e. the acquisition of companies. Targeted M&A activities are used to increase turnover, gain market share or acquire special expertise.
Since M&A transactions are always strategically motivated, they require meticulous preparation. In the case of a company sale, we structure the process, prepare high-quality documents, conduct the market research and go about approaching suitable buyers. In the following steps, we fill the data room and manage the communication between management and potential buyers. During the final negotiations, we ensure goal-orientedness in order to successfully conclude the sale of the company.
On the buyer side, we jointly create a profile of the company to be acquired. We analyse the market for suitable targets and begin to approach them. After an initial presentation phase, we carry out the due diligence, determine the company value and manage the negotiations. During the entire process, we take care of all sub-processes with lawyers and tax advisors and maintain an overview. We also provide advice during the subsequent operational implementation and post-merger integration.

For company succession or the sale of one’s own company (exit), companies benefit significantly from starting their preparation early.
In the case of a succession plan, it is relevant whether the company should remain in family hands, internal management should take over or an external investor is sought. Once this strategic question has been answered, a plan can be developed that takes all company-specific needs into account. The most critical issues are internal and external communication and stakeholder management. For this, we design talking points that help to support the process and streamline communication.
We advise on the preparation of marketing documents, set up a comprehensive data room and work out a transparent financial model. Once the groundwork is complete, we approach suitable buyers.
